1. Acceptance of Terms

By accessing, downloading, or using the LastBite application, website, or any related services (collectively, the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and JIANOU PTY LTD(ABN: 65 696 694 952) (“LastBite”, “we”, “us”, or “our”).

2. Nature of the Service

LastBite is a technology platform that connects customers with local businesses (restaurants, bakeries, cafés, florists, and other food retailers) offering surplus food and products at discounted prices through “surprise bags”. LastBite is not a food manufacturer, retailer, or restaurant. We do not prepare, store, or deliver food.

All purchases arranged through the Service are agreements solely between the customer and the business. LastBite makes no guarantees regarding the quality, quantity, or specific contents of any surprise bag.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. User Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information.

We reserve the right to suspend or terminate your account at any time, without notice, if we reasonably believe you have violated these Terms or engaged in fraudulent activity.

5. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Provide false, misleading, or inaccurate information
  • Harass, threaten, intimidate, or harm any other user or business partner
  • Attempt to circumvent the platform's payment system
  • Use automated tools, bots, or scrapers to access or collect data from the Service
  • Interfere with or disrupt the integrity or performance of the Service

6. Payments and Fees

Customers pay for surprise bags through the Service using our secure payment system powered by Stripe. Businesses set their own prices for surprise bags and receive 100% of the bag price. There are no fees, commissions, or charges for businesses.

A small service fee is added to the customer's order at checkout. This fee covers platform costs, secure payment processing, and customer support. The service fee amount is clearly displayed before payment is confirmed.

All payments are processed in Australian Dollars (AUD). By using the Service, you authorise LastBite and Stripe to charge the payment method associated with your account.

7. Cancellations and Refunds

Customers may cancel a reservation before the collection window begins for a full refund to their original payment method. Cancellations during or after the collection window are not permitted.

If a business cancels a surprise bag listing, all affected customers will receive a full refund automatically. Refunds may take 5–10 business days to appear depending on your financial institution.

8. Business Payouts

Business earnings become available after a reservation has been completed and picked up. Businesses must set up a Stripe Connect account to receive payouts. LastBite is not responsible for any delays caused by Stripe or your financial institution.

9. Food Safety and Allergens

Business partners are solely responsible for ensuring all food offered through the Service complies with applicable food safety laws and regulations, including the Food Standards Australia New Zealand Act 1991 and relevant state/territory food safety legislation. LastBite does not inspect, prepare, or handle any food items.

Surprise bags may contain common allergens including but not limited to gluten, dairy, nuts, eggs, soy, seafood, and sesame. Due to the nature of surprise bags, specific ingredients cannot be guaranteed in advance. It is the customer's responsibility to check all items for allergens before consumption. If you have a severe allergy, please contact the business directly before collecting your bag.

LastBite accepts no liability for any allergic reaction, illness, or adverse health event arising from the consumption of food obtained through the Service.

10. No-Shows

If a customer fails to collect a reserved surprise bag within the specified pickup window, the reservation will be considered a no-show. No refund will be issued for no-shows. Repeated no-shows may result in account restrictions or suspension.

11. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, software, and design — are the exclusive property of JIANOU PTY LTD and are protected by Australian and international intellectual property laws.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an “as is” and “as available” basis without warranties of any kind.
  • LastBite shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • LastBite shall not be liable for any illness, allergic reaction, or other harm arising from food obtained through the Service.
  • LastBite does not guarantee the availability, accuracy, or completeness of any listing, surprise bag, or store information on the platform.
  • Our total aggregate liability shall not exceed the total fees paid by you to LastBite in the twelve (12) months preceding the claim.

Nothing in these Terms excludes any consumer guarantee, right, or remedy conferred by the Australian Consumer Law that cannot be excluded by agreement.

13. Indemnification

You agree to indemnify and hold harmless LastBite, JIANOU PTY LTD, and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party rights.

14. Dispute Resolution

If you have a dispute with LastBite, you agree to first attempt to resolve it informally by . We will acknowledge your dispute within 7 days and aim to resolve it within 30 days.

15. Termination

You may terminate your account at any time through the app or by . We may suspend or terminate your access at any time for any violation of these Terms.

Upon termination, your right to use the Service will immediately cease. Any outstanding reservations may be cancelled and refunded at our discretion. Sections relating to liability, indemnification, intellectual property, and governing law survive termination.

16. Modifications to the Service

LastBite reserves the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the “Last Updated” date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.

18. Force Majeure

LastBite shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, power outages, internet disruptions, or third-party service failures.

19. Privacy

Your use of the Service is also governed by our Privacy Policy.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and LastBite regarding the use of the Service and supersede any prior agreements or understandings.

22. Governing Law

These Terms shall be governed by the laws of South Australia and the Commonwealth of Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Australia.
